1. Legal definitions

"Member" or "Membership," as referred to in this document shall mean: The subscriber or user of a valid username and password (e-ticket) for the site during the term of membership.

"Site," as referred to in this document shall mean: The website for which you are purchasing a username and password (e-ticket) from ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) in order to access the site and its materials and obtain the benefits of membership.

"Subscriber," as referred to in this document shall mean: The End-user/Consumer, of the services of the site and holder of a valid username and password (e-ticket) for the site.

"E-ticket," as referred to in this document shall mean: The combination of unique username and password that is sold by ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) and used to access a site. An e-ticket is a license to use a site for a period of time that is specified.

"Bookmarking," as referred to in this document shall mean: The act of placing a URL into a temporary file on the subscribers browser so that the subscriber may return to that page at a future date directly, without passing through any pages that may have preceded.

2. Description of services

ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) will provide one e-ticket to access the site and its contents for which you are purchasing membership.

3. Billing

MAC-GMPCS.ORG +8664452985 will appear on your credit card or bank statement for all charges made. If multiple venues are joined utilizing MasterCard, your statement will list each individual purchase comprising the transaction. ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) may include other information on your statement based on credit card association or NACHA rules and regulations.

4. Payment / Fee

Sites will have periodic subscription fees that are defined by the terms of the site at the time of the initial enrollment for subscription. The member is responsible for such fees according to the terms of the site.

Once a member has the ability to access the site using the e-ticket assigned to the member, subscription fees become non-refundable.

5. At the conclusion of the membership term originally selected by subscriber upon registration, subscriptions for both premium memberships and VIP memberships shall be automatically renewed and rebilled at the then prevailing membership rate posted on www.gmpass.com, for the same or comparable term, unless notice of cancellation is received from the subscriber seven (7) days prior to the conclusion of the then current term. All first time special introductory trial members and VIP trial members shall be exempt from the 7 day cancellation requirement, but must notify ModelArt Consultants Limited 24 hours prior to the conclusion of the trial or special offer term to cancel automatic renewal. Premium and VIP memberships are independent of each other and must be specifically and individually cancelled. All trial or special offer memberships shall renew at the then current one-month membership rate. The maximum term of this agreement is 100 months.

Unless and until this agreement is cancelled in accordance with the terms hereof, subscriber hereby authorizes ModelArt Consultants Limited to charge subscriber's credit card or bank account the automatically renewing membership fees as described herein. Subscriber hereby further authorizes ModelArt Consultants Limited to charge subscriber's credit card or bank account for any and all products, services and entertainment that subscriber purchases on ModelArt Consultants Limited.

Cancellation must be made by phone. Although memberships will be cancelled immediately upon receipt of an Email notification of cancellation, subscriber must follow up email cancellation with a phone call to ModelArt Consultants Limited customer service in order to verify subscriber.s identity.

Unless and until this agreement is cancelled in accordance with the terms hereof, subscriber hereby authorizes ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) to charge subscriber's credit card or bank account to pay for the ongoing cost of membership. Subscriber hereby further authorizes ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) to charge subscriber's credit card or bank account for any and all purchases of products, services and entertainment provided by the site.

6. Electronic Receipt

Subscribers may request a copy of the account of charges made for the use of the site. Subscriber foregoes this right if such request is not made. Requests must be made directly to ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985). Refer to the Questions and contact information at the end of this document.

7. Cancellation

At any time, and without cause, subscription to the service may be terminated by either ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985), the site, or the subscriber upon notification of the other by electronic or conventional mail, or by telephone or fax. When the member requests the termination, subscription fees are NOT refunded. Subscribers are liable for charges incurred by them until termination of service.

If you request cancellation or request a refund from your bank or card issuer due to unauthorized or fraudulent use, ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) can at its discretion, to prevent further unauthorized use, block your account or card from use at all ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) clients websites. This will not however prevent unauthorized use at non-ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) customers, and is not a substitution for your contacting your financial institution to prevent further misuse.

If you are taking advantage of a "Free" trial period, please be aware of the following: Your bank will immediately put a "Reserved Funds" hold on your credit card, or your checking /debit card account for the amount of the subscription plan you have selected. If the free trial is cancelled within the timeframe allowed by the website, it typically takes the banking system 7 to 10 days to remove the hold from these funds. During the trial period and for a minimum of 7 to 10 days after you cancel, these funds are considered out of your bank even though technically they are still there, and you could overdraw or exceed the limits of your account. You are responsible for any charges imposed by your bank or credit card company for exceeding your account limits or overdrawing your account.

Note: COMPANY reserves the right to pursue reimbursement of chargebacks resulting from your false claims of fraudulent activity. In addition to the cost of membership COMPANY will charge an additional $25.00 per false claim of a fraudulent transaction. COMPANY may, at its sole discretion, employ the services of a third party collection agency in these efforts.

8. Bookmarking

Subscriber agrees that at any time they will not bookmark any page to the site that will allow the subscriber to bypass the terms and conditions of the site upon entering. If such a bookmark exists, said bookmark will constitute full agreement to said terms and conditions as well as to admission that subscriber is of legal age of majority in their state, country or region.

9. Authorization of Use

Subscribers to the site are hereby authorized a single e-ticket to download, copy, or print material found on the site. This e-ticket shall be granted for sole use via one computer. All memberships are provided for personal use and shall not be used for any commercial purposes or by any commercial entities. Commercial use of either the site or any material found within is strictly prohibited. No material within the site may be transferred to any other person or entity, whether commercial or non-commercial. In addition, materials may not be modified, or altered. Materials may not be displayed publicly, or used for any rental, sale, or display. Materials shall extend to copyright, trademarks, or other proprietary notices there from.

ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) and the site reserve the right to terminate this e-ticket at any time if the terms of this agreement are breached. In the case that the terms are breached, you will be required to immediately destroy any information or material printed, downloaded or otherwise copied from the site.

10. Transfer of E-ticket

Access to the site is through a combination of a username and a password (e-ticket). Subscribers may not under any circumstances release their e-ticket to any other person, and are required to keep their e-ticket strictly confidential. ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) will not release passwords for any reason, to anyone other than the subscriber, except as may be specifically required by law or court order. Unauthorized access to the site is a breach of this Agreement and a violation of law. Subscribers acknowledge that the Webmaster of the site may track through the use of special software each subscribers entry to the site.

If any breach of security, theft or loss of e-ticket, or unauthorized disclosure of e-ticket information occurs, subscriber must immediately notify ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) or the site of said security breach. Subscriber will remain liable for unauthorized use of service until ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) or the site is notified of the security breach by e-mail or telephone.

11. Sanction and Approval of Adult Material

This site was designed to be used and viewed solely by people who are at least 18 years of age (21 in AL, MS, NE, and WY), who wish to access visual images, audio sounds, and verbal descriptions of a sexually oriented and frankly erotic nature. 12. Supplementary Terms and conditions

The site may have additional Terms and Conditions that are an integral part of this Agreement, and are in addition to these Terms and Conditions. Such Terms and Conditions as listed at the site will in no way invalidate any of the Terms and Conditions listed here. All Terms listed apply to ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985), the site, and the subscriber.

I understand that by having checked the acknowledgement of ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) Terms and Conditions, I am affirming that I have read and understand the terms of this account and authorize ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985) to debit my credit card or bank account in accordance with the current terms and conditions.

13. Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

14. Notice

Notices by the site to subscribers may be given by means of electronic messages through the site, by a general posting on the site, or by conventional mail.

Notices by subscribers may be given by electronic messages, conventional mail, telephone or fax unless otherwise specified in the Agreement. All questions, complaints, or notices regarding the site must be directed to ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985). All cancellations of service to a site must also be directed to ModelArt Consultants Limited (MAC-GMPCS.ORG +8664452985).

15. Consent to Jurisdiction and Forum Selection.

The parties hereto agree that all actions or proceedings arising in connection with this Agreement shall be tried and litigated exclusively in the courts of the Republic of Cyprus. The aforementioned choice of venue is intended by the parties to be mandatory and not permissive in nature, thereby precluding the possibility of litigation between the parties with respect to or arising out of this Agreement in any jurisdiction other than that specified in this paragraph. Each party hereby waives any right it may have to assert the doctrine of forum non convenient or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this paragraph, and stipulates that the Republic of Cyprus, shall have in personam jurisdiction and venue over each of them for the purpose of litigating any dispute, controversy, or proceeding arising out of or related to this Agreement. Each party hereby authorizes and accepts service of process sufficient for personal jurisdiction in any action against it as contemplated by this paragraph by registered or certified mail, return receipt requested, postage prepaid, to its address for the giving of notices as set forth in this Agreement. Any final judgment rendered against a party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law.
